Profiler Consulting provides payroll-only services, including payroll processing, federal and state payroll tax filings, new-hire reporting, unemployment/withholding filings, quarterly/annual reconciliations, and year-end W-2/W-3 forms. Payroll fees do not include tax preparation, bookkeeping, sales tax filings, or tax-planning services, which are handled separately through the client’s tax engagement. Profiler Consulting will process payroll and file applicable taxes on the client’s behalf using the authorized payroll platform unless otherwise agreed in writing. The client agrees to provide complete and accurate payroll information, maintain sufficient funds for payroll and tax withdrawals, approve payroll on time when required, and communicate all payroll-related changes directly to the Payroll Department. Profiler Consulting is not responsible for penalties, interest, or errors resulting from inaccurate, incomplete, or late information or approvals from the client, or from delays caused by third-party payroll systems, government agencies, or banking institutions. The client agrees to indemnify and hold Profiler Consulting harmless from any costs, penalties, or claims arising from client-provided data or actions. Term, Billing, and Liability The minimum service term is six (6) months. After that term, services renew month-to-month, and cancellation requires sixty (60) days’ written notice. Early cancellation during the initial term requires payment of the remaining months. Fees are billed on the first of each month and may increase if additional employees, states, reimbursements, benefits, garnishments, or other added complexity are introduced. Liability is limited to the total payroll fees paid in the previous three (3) months. All payroll information and client data will be maintained in strict confidence. By submitting this form, the client acknowledges and accepts all terms of this Payroll Services Agreement.
